1. Agreement to Terms

These Terms & Conditions ("Terms") constitute a legally binding agreement between you ("User", "you", or "your") and JD Motorline Ltd ("Company", "we", "us", or "our"), governing your use of the Focus logistics management platform ("Platform").

By accessing or using the Platform, you agree to be bound by these Terms. If you do not agree, you must not use the Platform.

2. Description of Service

Focus is a fleet logistics management platform designed for operations teams. The Platform provides tools for:

• Vehicle tracking, inventory, and lifecycle management
• Job scheduling and logistics coordination
• Driver, supplier, source, and customer management
• Task assignment and tracking
• Vehicle inspection grading with checklists and photo documentation
• Financial record-keeping including transactions and payout tracking
• PDF report generation and vehicle photo gallery exports
• Role-based access control and team management

3. Accounts & Access

3.1 Account Creation

Accounts are created by authorised administrators within your organisation. You are responsible for maintaining the confidentiality of your login credentials.

3.2 Account Security

You must immediately notify your organisation administrator of any unauthorised use of your account or any other security breach. We are not liable for any loss arising from unauthorised use of your account.

3.3 Role-Based Permissions

Access to features within the Platform is governed by the role assigned to your account by your organisation administrator. You agree to use only the features and data that your assigned role permits.

4. Acceptable Use

You agree not to:

• Use the Platform for any unlawful purpose or in violation of applicable laws or regulations
• Attempt to gain unauthorised access to any part of the Platform, other accounts, or connected systems
• Upload or transmit viruses, malware, or any harmful code
• Interfere with or disrupt the integrity or performance of the Platform
• Reproduce, duplicate, copy, sell, or exploit any portion of the Platform without express written consent
• Enter false, inaccurate, or misleading information into the Platform
• Share login credentials with unauthorised individuals
• Use automated scripts, bots, or scrapers to access the Platform

5. Data & Content

5.1 Your Data

You retain ownership of all data you enter into the Platform, including vehicle records, contact information, job details, inspection data, and financial records. You are responsible for ensuring the accuracy and legality of the data you submit.

5.2 Data Processing

By using the Platform, you grant us a limited licence to process, store, and display your data solely for the purpose of providing and improving the service. Our processing of personal data is governed by our Privacy Policy.

5.3 Uploaded Content

You are solely responsible for any images, documents, or files you upload to the Platform, including vehicle photographs and inspection attachments. You represent that you have the necessary rights and permissions to upload such content.

6. Third-Party Services

The Platform integrates with third-party services to provide certain functionality. By using these features, you agree to the terms and privacy policies of these providers:

• UK Vehicle Data — vehicle registration data lookups
• Spyne AI — vehicle photo processing and enhancement

We are not responsible for the accuracy, availability, or performance of third-party services.

7. Intellectual Property

The Platform, including its design, code, logos, trademarks, and all related materials, is the intellectual property of JD Motorline Ltd. You are granted a limited, non-exclusive, non-transferable licence to use the Platform in accordance with these Terms.

You may not copy, modify, distribute, sell, or lease any part of the Platform, nor may you reverse-engineer or attempt to extract the source code, except where permitted by law.

8. Limitation of Liability

To the fullest extent permitted by law, the Company shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to:

• Loss of profits, revenue, or business opportunities
• Loss of data or data corruption
• Damages arising from reliance on information provided by the Platform or third-party services
• Service interruptions, downtime, or technical failures

The Platform is provided on an "as is" and "as available" basis. We make no warranties, express or implied, regarding the Platform's reliability, accuracy, or fitness for a particular purpose.

9. Indemnification

You agree to indemnify and hold harmless JD Motorline Ltd, its officers, directors, employees, and agents from and against any claims, damages, losses, liabilities, costs, or expenses (including legal fees) arising from your use of the Platform, violation of these Terms, or infringement of any third-party rights.

10. Termination

We reserve the right to suspend or terminate your access to the Platform at any time, with or without notice, for any reason, including breach of these Terms. Upon termination, your right to use the Platform ceases immediately.

Your organisation administrator may also archive or delete your account. Archived accounts may be restored by administrators; deleted accounts are permanently removed.

11. Changes to These Terms

We reserve the right to modify these Terms at any time. Changes will be effective when the updated Terms are posted on the Platform with a revised "Last updated" date. Your continued use of the Platform after any changes constitutes acceptance of the new Terms.

12. Governing Law

These Terms are governed by and construed in accordance with the laws of England and Wales. Any disputes arising from or relating to these Terms or the Platform shall be subject to the exclusive jurisdiction of the courts of England and Wales.

13. Severability

If any provision of these Terms is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary, and the remaining provisions shall continue in full force and effect.
